LINEONE Scissors Membership Terms
Pre-Checkout Affirmative Consent (the enrollment checkboxes)
Each of the following must appear as a separate, individually-clickable checkbox directly above the "Start Membership" button on the enrollment page. The button is disabled until all are checked. The checkbox states, the IP address, the user agent, and the SHA-256 hash of this document are captured at the moment of submission and retained for at least four (4) years.
☐ I understand my LINEONE Scissors Membership costs $50.00 per month, has a three (3) month minimum commitment, and automatically renews every month thereafter until I cancel.
☐ I understand that each time I request a replacement pair of shears, my payment method on file will be charged for outbound shipping at either a $10.00 flat rate or the carrier-calculated rate that I select. Return shipping back to LINEONE is paid by LINEONE.
☐ I understand that if I do not return a replacement pair within fourteen (14) days of delivery, LINEONE will charge my payment method on file a $1,200.00 Replacement Value on day 28. The same Replacement Value applies if I cancel my Membership and do not return my active pair within the post-cancellation return window.
☐ I understand my Membership has a three (3) month minimum commitment. I can submit a cancellation at any time through my account, by emailing orders@lineonehair.com, or by replying "cancel" to any program email — if I cancel during the commitment, my cancellation takes effect at the end of the three-month term; after that, cancellations take effect at the end of my current paid month.

1. DEFINITIONS
For purposes of these Terms:
"LINEONE," "we," "us," and "our" refer to LINEONE Hair, a California business with its principal place of business at 6363 Wilshire Boulevard, Suite 206, Los Angeles, California 90048.
"You," "your," and "Member" refer to the individual who has enrolled in the Membership.
"Membership" means the LINEONE Scissors recurring subscription program described in these Terms.
"Shears" means the professional hair-cutting scissors provided by LINEONE under the Membership.
"Swap" means a request by you to receive a replacement pair of Shears under the Membership.
"Replacement Value" means the $1,200.00 charge described in Section 8.
"Terms" means this document as it may be updated from time to time pursuant to Section 13.
2. THE MEMBERSHIP
The Membership gives you the right to request replacement Shears on demand without sending your current pair away for sharpening. When your Shears dull, you submit a Swap Request through your LINEONE account; LINEONE ships a fresh pair to you and, in the box, provides a prepaid return label for your previous pair. You return your previous pair within fourteen (14) days of receiving the replacement, and the cycle continues for the duration of your Membership.
The Membership carries a three (3) month minimum commitment, described in Section 4, after which it continues month-to-month until cancelled.
These Terms are a contract between you and LINEONE. By enrolling, you agree to be bound by these Terms.
3. ELIGIBILITY
The Membership is available only to individuals who:
(a) are at least eighteen (18) years of age;
(b) are verified holders of a LINEONE Pro account in good standing, which requires verification of a professional cosmetology, barbering, or related license, certificate, or credential;
(c) maintain a current shipping address within the United States, excluding Alaska, Hawaii, and U.S. territories; and
(d) maintain a valid payment method that is accepted by LINEONE.
LINEONE may at any time, with or without notice, verify or re-verify your eligibility, and may terminate your Membership under Section 12 if eligibility cannot be confirmed.
4. MEMBERSHIP FEE AND BILLING
Fee. The standard Membership fee is fifty United States dollars ($50.00) per month.
Minimum Commitment. Your Membership carries a minimum commitment of three (3) monthly billing cycles — approximately ninety (90) days (the "Minimum Commitment"). Your total minimum obligation is three times your monthly rate — $150.00 at the standard rate, or $117.00 at the $39.00 promotional rate. You may submit a cancellation request at any time using any method described in Section 11; however, if you do so before completing three billing cycles, your cancellation takes effect at the end of your third cycle, and your monthly fee continues to be charged through that date. You retain full Membership benefits, including the right to request Swaps, through the effective date of your cancellation.
Promotional Pricing. From time to time, LINEONE may offer reduced introductory or cohort-specific pricing (for example, to attendees of a LINEONE class, to stylists at a LINEONE-affiliated salon, or to members of a specific loyalty tier). Eligibility, the discounted rate, the redemption window, and the duration of the discount (including whether it applies to first-period only, a limited number of renewals, or for the life of the Membership) are defined in the promotion's terms at the time the offer is made. If you cancel a Membership that was enrolled under promotional pricing and later re-enroll, you will be enrolled at the then-current standard rate unless a new promotional offer is in effect for you at that time.
Billing Day. Your Membership is billed monthly on the calendar day of the month on which you enrolled. If your enrollment day does not exist in a given month (for example, the 31st in February), you will be billed on the last day of that month.
Automatic Renewal. YOUR MEMBERSHIP AUTOMATICALLY RENEWS EVERY MONTH UNTIL YOU CANCEL IT. You authorize LINEONE to charge your payment method on file the recurring monthly fee on each Billing Day, and you waive any requirement that LINEONE notify you in advance of each recurring charge except as expressly required by applicable law.
No Proration. Monthly fees are non-refundable and are not prorated for partial months. If you cancel mid-cycle, your Membership remains active through the end of the cycle you have already paid for, but you are not entitled to a refund of any portion of that cycle's fee.
Failed Payment. If a recurring fee charge fails, LINEONE will attempt to recharge your payment method up to three (3) additional times over a period of approximately five (5) business days. If all retries fail, your Membership will be suspended, your right to request Swaps will pause, and you may be required to update your payment method to reinstate the Membership.
No Deposit. There is no enrollment deposit. Your first month's fee is charged at the time of enrollment.
Taxes. All fees are exclusive of any applicable sales, use, or other taxes, which may be added to your charge depending on your shipping address.
5. PAYMENT METHOD AND AUTHORIZATION
By enrolling, you provide LINEONE with a payment method (a credit or debit card, or another method LINEONE accepts) and you represent that you are authorized to use it.
You expressly authorize LINEONE to charge that payment method, without further notice or consent except as required by law, for:
(a) the recurring monthly Membership fee described in Section 4;
(b) any outbound shipping charge for a Swap that you request, as described in Section 7;
(c) the Replacement Value of $1,200.00 in any circumstance described in Section 8; and
(d) any applicable taxes and any amount you owe to LINEONE under these Terms.
This authorization shall remain in full force and effect for the duration of your Membership and shall survive the cancellation or termination of your Membership for the purpose of collecting any outstanding amounts you owe to LINEONE.
If your payment method changes (for example, a card is reissued or expires), you are responsible for updating it in your account. If LINEONE cannot charge an authorized amount because your payment method is no longer valid, you remain liable for that amount.
6. REQUESTING A REPLACEMENT (SWAP)
You may submit a Swap Request through your LINEONE account at any time during an active Membership, subject to the following:
(a) No open prior Swap. You may not request a new Swap while a previous replacement pair from a prior Swap is still pending return.
(b) Forty-five (45) day soft cap. Under normal use, at least forty-five (45) calendar days must have passed since the date your last Swap was shipped. Requests submitted before the 45-day period elapses may be approved at LINEONE's discretion after manual review, but LINEONE is under no obligation to approve them.
(c) Account in good standing. Your Membership must be active, your payments must be current, and you must have no unpaid Replacement Value charges.
LINEONE reserves the right to investigate any Swap Request and to deny, delay, or terminate Membership privileges in connection with any request LINEONE reasonably believes to be fraudulent, abusive, or excessive in relation to normal professional use.
Size and Hand Selection. At each Swap Request, you may choose your size (6.0-inch or 5.5-inch) and your hand orientation (right-hand or left-hand), regardless of the size or hand of the pair you currently hold. If your selected variant is temporarily out of stock, LINEONE will notify you within one (1) business day and offer you the choice of either (i) holding your Swap Request until the selected variant is available, or (ii) receiving the closest available variant while inventory is being replenished.
7. THE SWAP PROCESS
The Swap process operates as follows:
(a) You submit a Swap Request through your LINEONE account.
(b) At the moment of the Swap Request, your payment method on file is charged for outbound shipping. You select either (i) a $10.00 flat rate or (ii) a carrier-calculated rate at checkout. You authorize this charge in advance by these Terms and at the time of each Swap Request.
(c) Upon approval, LINEONE ships the replacement pair to your registered shipping address, typically within one (1) business day. The shipment includes a prepaid return label and return packaging for your previous pair. Return shipping is paid by LINEONE.
(d) You have fourteen (14) calendar days from the date the replacement is delivered to you, as confirmed by the carrier's delivery scan, to ship your previous pair back using the provided return label.
(e) If your return has not been scanned by the carrier on or before day fifteen (15) from delivery, LINEONE will send you a reminder communication. If it has not been scanned by day twenty-one (21), LINEONE will send you a final notice communication. Communications may be sent by email, SMS, or both.
(f) If your return is not scanned by the carrier on or before day twenty-eight (28) from delivery, the Replacement Value charge described in Section 8 applies.
8. REPLACEMENT VALUE CHARGE
Definition. The "Replacement Value" of a pair of LINEONE Scissors is $1,200.00. The Replacement Value is not the retail price of the Shears. It reflects LINEONE's inventory allocation, program administration, the inability to recover and refurbish the original pair, and the operational costs of maintaining the Membership program.
When the Replacement Value Is Charged. You authorize LINEONE to charge your payment method on file the Replacement Value of $1,200.00 in any of the following circumstances:
(a) Non-return within the return window. If a replacement pair shipped to you in connection with a Swap is not scanned by the carrier on or before day twenty-eight (28) from the date the replacement was delivered to you. The charge will be initiated on day 28 or shortly thereafter.
(b) Non-return after cancellation. If you cancel your Membership (or LINEONE terminates your Membership) and you do not return your active pair within the post-cancellation return window described in Section 11.
(c) Loss, theft, intentional damage, or unauthorized modification. If any pair of Shears in your possession is lost, stolen, intentionally damaged, or modified without LINEONE's written authorization, as described in Section 10.
You expressly authorize each of these charges in advance via your acceptance of these Terms. LINEONE is not required to provide additional notice or obtain additional consent before initiating the Replacement Value charge, except as required by applicable law.
Notice Before the Charge. Without limiting the foregoing, LINEONE will, in the case of a Section 8(a) charge, send you a reminder communication on or about day 15 and a final notice communication on or about day 21, as described in Section 7.
Failed Charge. If LINEONE is unable to charge the Replacement Value to your payment method on file, you remain liable for the amount. LINEONE may retry the charge, charge any other payment method you have on file, terminate your Membership, suspend your right to request future Swaps under any future LINEONE program, and pursue any other remedy available under law.
9. SHIPPING
Outbound shipping (to you). Each outbound Swap shipment is paid by you, at the rate you select at the time of the Swap Request as described in Section 7. Risk of loss in transit during the outbound leg passes from LINEONE to you when the carrier marks the package as delivered.
Return shipping during Membership. Each return shipment during an active Membership is paid by LINEONE through the prepaid return label included in the outbound shipment. Risk of loss in transit during the return leg remains with LINEONE from the moment the carrier accepts and scans the return package.
Return shipping after cancellation. Following cancellation, LINEONE will provide you with a prepaid return label by email. Risk of loss in transit during the post-cancellation return leg is the same as during Membership.
Carrier delays and force majeure. LINEONE is not responsible for carrier delays. The fourteen (14) day return window is measured from the date the replacement is delivered to you (per carrier scan), and LINEONE will reasonably extend the window in the event of a documented force majeure event preventing your return (see Section 22).
Your responsibility. You are responsible for handing the return package to the carrier or scheduling a pickup before the 14-day return deadline. Once the carrier accepts and scans the return, any subsequent loss or damage in transit is not your responsibility.
10. WHAT'S COVERED AND WHAT ISN'T
Covered. The Membership covers replacement of Shears that have dulled through normal professional use, that exhibit cosmetic wear consistent with normal professional use, or that bear minor scratches consistent with normal professional use.
Not Covered. The Membership does not cover Shears that are lost, stolen, intentionally damaged, or modified without LINEONE's written authorization. If any of these circumstances apply to a pair in your possession, the Replacement Value applies under Section 8(c), and LINEONE may terminate your Membership under Section 12.
Your obligation to report. You agree to report any loss, theft, or unauthorized modification to LINEONE within seven (7) days of discovery.
LINEONE's right to inspect. Upon receipt of a returned pair, LINEONE may inspect the Shears for evidence of intentional damage or unauthorized modification. If evidence is found, LINEONE may apply the Replacement Value under Section 8(c) notwithstanding the return.
11. CANCELLATION BY YOU
Methods of cancellation. You may submit a cancellation request at any time using any one of the following methods:
(a) clicking the "Cancel Membership" link in your LINEONE Scissors account page;
(b) sending an email to orders@lineonehair.com with the subject line "cancel LINEONE Scissors"; or
(c) replying "cancel" to any LINEONE Scissors program email.
Each of these cancellation methods is at least as easy to use as your enrollment process and requires no greater effort than your initial enrollment.
Confirmation. LINEONE will confirm your cancellation request by email within one (1) business day, including the effective date of your cancellation. If you have not received a confirmation within that time, please contact orders@lineonehair.com.
Effective date of cancellation.
(a) If you cancel during the Minimum Commitment (before completing three monthly billing cycles), your cancellation takes effect at the end of your third billing cycle. Your monthly fee continues to be charged, and your Membership remains fully active — including your right to request Swaps — through that date.
(b) If you cancel after completing the Minimum Commitment, your cancellation takes effect at the end of the monthly billing cycle you have already paid for. You may continue to request Swaps during that period subject to the limitations in Section 6.
Effect of cancellation.
(a) On the effective date of your cancellation, LINEONE will email you a prepaid return label for your active pair.
(b) You have fourteen (14) calendar days after the effective date of your cancellation to ship your active pair back to LINEONE using the prepaid return label.
(c) If your return is not scanned by the carrier within that fourteen (14) day window, the Replacement Value charge described in Section 8(b) applies.
No prorated refund. You are not entitled to a prorated refund of the monthly fee for any billed cycle, including cycles billed between your cancellation request and its effective date under the Minimum Commitment.
12. TERMINATION BY LINEONE
LINEONE may suspend or terminate your Membership at any time for any of the following reasons, with or without prior notice:
(a) non-payment of any fee or Replacement Value charge;
(b) Swap Requests that LINEONE reasonably believes are fraudulent, abusive, or excessive in relation to normal professional use;
(c) loss, suspension, revocation, or expiration of your professional license, certificate, or credential;
(d) any material breach of these Terms by you;
(e) any conduct by you that LINEONE reasonably believes constitutes fraud, harassment, threats, or other harm to LINEONE or its personnel; or
(f) any other circumstance in which LINEONE reasonably believes termination is appropriate to protect LINEONE, its other Members, or the integrity of the Membership program.
Effect of termination by LINEONE. Upon termination by LINEONE:
(a) any Shears currently in your possession must be returned to LINEONE within fourteen (14) calendar days using a prepaid return label LINEONE will provide;
(b) if the return is not scanned within that window, the Replacement Value charge described in Section 8 applies; and
(c) any amounts you owe to LINEONE under these Terms remain due and may be charged to your payment method on file.
13. MODIFICATION OF THE PROGRAM
LINEONE may modify these Terms, the Membership fee, the Replacement Value amount, the Swap process, or any other aspect of the Membership at any time, in LINEONE's reasonable discretion.
Notice. LINEONE will provide notice of any material change to active Members at least thirty (30) calendar days before the change takes effect, by email to your registered email address and by posting the updated Terms to lineonehair.com or another publicly accessible URL.
Your acceptance. Your continued use of the Membership after the effective date of a change constitutes your acceptance of the change. If you do not accept a change, you may cancel under Section 11 before the change's effective date and your existing Membership terms will continue to apply through the end of your paid cycle.
No retroactive effect. Changes to Terms do not retroactively alter the consequences of events that occurred before the effective date of the change, including Replacement Value charges already incurred.
14. CALIFORNIA AUTOMATIC RENEWAL DISCLOSURES
These additional disclosures apply to Members in California, in compliance with California Business & Professions Code §17600 et seq. (the Automatic Renewal Law), including as amended by Assembly Bill 2863 (effective July 1, 2025):
The recurring charge. Your Membership costs $50.00 per month, charged each month on your Billing Day, until cancelled.
Minimum term. Your Membership has a minimum commitment of three (3) monthly billing cycles — approximately ninety (90) days. Your total minimum obligation is $150.00 at the standard rate (or $117.00 at the $39.00 promotional rate), plus applicable taxes and any per-Swap shipping charges you incur.
Automatic renewal. Your Membership renews automatically every month without further action by you. You will be charged the recurring fee on each Billing Day.
How to cancel. You may submit a cancellation request at any time by any of the methods described in Section 11. LINEONE provides a self-service cancellation link in your account that is at least as easy to use as your enrollment process. A cancellation submitted during the minimum commitment takes effect at the end of your third billing cycle; a cancellation submitted after that takes effect at the end of your current paid cycle.
Effect of cancellation on next billing. After completing the minimum commitment, to avoid being charged for an additional month you must cancel at least one (1) business day before your next Billing Day.
Annual renewal reminder. After twelve (12) consecutive months of Membership, and annually thereafter, LINEONE will send you a reminder email confirming the recurring price, the billing frequency, your next Billing Day, and how to cancel.
Price-change notice. Any change to the recurring Membership fee will be communicated to you by email at least thirty (30) days before the change takes effect, with information about how to cancel before the change applies.
California consumer right. You may have additional rights under California law. If you wish to file a complaint regarding your Membership, you may contact the California Department of Consumer Affairs, Consumer Information Division, 1625 North Market Boulevard, Sacramento, CA 95834, by telephone at (800) 952-5210, or online at www.dca.ca.gov.
15. NOTICES AND ELECTRONIC COMMUNICATIONS
Consent to electronic records and signatures. By checking the consent boxes at enrollment, you (a) provide your electronic signature on these Terms; (b) consent to receive all communications, notices, agreements, disclosures, and other documents related to your Membership in electronic form, by email or by posting to your LINEONE account; and (c) represent that you have a working email address, the technical ability to receive and store electronic communications, and have provided LINEONE with an accurate email address.
Withdrawal of consent. You may withdraw your consent to electronic communications by contacting orders@lineonehair.com. Withdrawal of consent to electronic communications will require termination of your Membership because the Membership is operated entirely through electronic communications.
Notices to you. Notices from LINEONE to you will be sent to the email address you provided at enrollment, or to any updated address you have provided in your account. You are responsible for keeping your email address current.
Notices to LINEONE. Notices from you to LINEONE must be sent to orders@lineonehair.com or by certified mail to LINEONE Hair, 6363 Wilshire Boulevard, Suite 206, Los Angeles, California 90048.
Effective when delivered. Notices are effective when received, or in the case of email, when sent provided no bounce or error message is received within twenty-four (24) hours.
16. CHARGEBACK AND BILLING DISPUTE RESOLUTION
Pre-dispute contact. If you believe any charge to your payment method is in error, you agree to contact LINEONE first at orders@lineonehair.com to attempt to resolve the dispute before initiating a chargeback with your card issuer.
Authorized charges. You acknowledge and agree that the following charges are authorized in advance by your acceptance of these Terms and that you waive any right to dispute these charges as unauthorized:
(a) the recurring monthly Membership fee;
(b) any outbound shipping charge authorized at the time of a Swap Request; and
(c) the Replacement Value charge in any circumstance described in Section 8.
Use of these Terms in dispute response. For any chargeback or billing dispute you initiate, you authorize LINEONE to submit these Terms, your enrollment consent record (including timestamp, IP address, user agent, and the cryptographic hash of the version of these Terms you accepted at enrollment), all shipping and tracking records, all reminder communications LINEONE sent you, and any other related records to your card issuer, payment processor, and any arbitrator as evidence of your authorization.
Bad-faith chargeback as breach. Initiating a chargeback for an authorized charge without first contacting LINEONE under this Section 16 will be considered a material breach of these Terms and may result in immediate termination of your Membership under Section 12.
17. DISPUTES; ARBITRATION; CLASS ACTION WAIVER
PLEASE READ THIS SECTION 17 CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS.
17.1 Agreement to Arbitrate. You and LINEONE agree that any dispute, claim, or controversy arising out of or relating to these Terms, the Membership, the Shears, any charges to your payment method, or your relationship with LINEONE in any way (each, a "Dispute") shall be resolved exclusively through final and binding arbitration on an individual basis, rather than in court, except for the limited exceptions in Section 17.3.
17.2 Class Action Waiver. YOU AND LINEONE AGREE THAT EACH OF US MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, REPRESENTATIVE, OR PRIVATE ATTORNEY GENERAL ACTION OR PROCEEDING. UNLESS BOTH YOU AND LINEONE AGREE OTHERWISE IN WRITING, THE ARBITRATOR MAY NOT CONSOLIDATE MORE THAN ONE PERSON'S CLAIMS, AND MAY NOT OTHERWISE PRESIDE OVER ANY FORM OF A REPRESENTATIVE OR CLASS PROCEEDING.
17.3 Exceptions. Notwithstanding Section 17.1, either party may (a) bring an individual action in small claims court for any Dispute within the scope of that court's jurisdiction, and (b) seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement, misappropriation, or violation of a party's intellectual property rights.
17.4 Arbitration Procedures. The arbitration shall be administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules in effect at the time of filing, as modified by these Terms. The AAA's rules are available at www.adr.org or by calling 1-800-778-7879. The arbitration shall be conducted by a single arbitrator. The arbitrator shall be empowered to grant whatever relief would be available in court under law or in equity. The arbitrator's award shall be written and shall be binding on both parties.
17.5 Location of Arbitration. The arbitration shall be conducted in Los Angeles County, California, or, at your election, by telephone, video conference, or written submissions only, except that if either party requests an in-person hearing for a claim of more than $25,000, the in-person hearing shall be held in Los Angeles County, California.
17.6 Arbitration Costs. LINEONE will pay all AAA filing, administrative, and arbitrator fees for any individual arbitration commenced by you for a claim under $10,000, except that if the arbitrator finds your claim to be frivolous, you may be responsible for those fees. For claims of $10,000 or more, fees will be paid in accordance with the AAA Consumer Arbitration Rules. Each party shall be responsible for its own attorneys' fees unless the arbitrator awards otherwise as permitted by law.
17.7 Federal Arbitration Act. This Section 17 is governed by the Federal Arbitration Act, 9 U.S.C. §§ 1-16, and shall not be governed by any state arbitration law. Any judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
17.8 Right to Opt Out. You may opt out of this Section 17 by sending written notice of your decision to opt out to LINEONE Hair, Attn: Legal — Scissors Opt-Out, 6363 Wilshire Boulevard, Suite 206, Los Angeles, California 90048, postmarked within thirty (30) days of your first acceptance of these Terms. The notice must include your full name, your email address as registered with the Membership, and a clear statement that you want to opt out of arbitration. If you opt out, neither this Section 17 nor any subsequent change to Section 17 will apply to you. Opting out has no other effect on your Membership and does not affect any other provision of these Terms.
17.9 Severability of Section 17. If any portion of this Section 17 is found to be invalid or unenforceable, that portion shall be severed and the remaining portions shall remain in full force and effect, except that if the class action waiver in Section 17.2 is found invalid or unenforceable, then the entirety of this Section 17 shall be null and void with respect to that proceeding, and the parties shall resolve the Dispute in court pursuant to Section 18.
17.10 Survival. This Section 17 shall survive the termination of your Membership and the termination of these Terms.
18. GOVERNING LAW AND VENUE
These Terms are governed by and shall be construed in accordance with the laws of the State of California, without regard to its conflict-of-laws principles, except that Section 17 is governed by the Federal Arbitration Act.
For any Dispute not subject to arbitration under Section 17 (including any action to enforce an arbitration award), you and LINEONE agree to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California, and waive any objection to venue in those courts.
19. DISCLAIMER OF WARRANTIES
THE SHEARS AND THE MEMBERSHIP ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING WITHOUT LIMITATION ANY IMPLIED WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ANY WARRANTY ARISING FROM A COURSE OF DEALING, USAGE, OR TRADE PRACTICE.
You acknowledge that the Shears are professional cutting tools that require professional skill to operate safely, that you are a verified professional capable of operating them safely on yourself and on the clients of your professional practice, and that LINEONE makes no warranty regarding the suitability of the Shears for any specific cutting technique, hair type, client, or use case.
Some jurisdictions do not allow the exclusion or limitation of certain warranties, so some of the above exclusions may not apply to you in full. In that case, the excluded or limited warranties will apply only to the minimum extent required by applicable law.
20. LIMITATION OF LIABILITY
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL LINEONE, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, LICENSORS, AFFILIATES, OR SUPPLIERS BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST DATA, LOST CLIENTS, OR LOSS OF GOODWILL, ARISING OUT OF OR RELATING TO THESE TERMS, THE MEMBERSHIP, OR THE SHEARS, REGARDLESS OF THE CAUSE OF ACTION, THE THEORY OF LIABILITY (WHETHER IN CONTRACT, TORT, STRICT LIABILITY, OR OTHERWISE), OR EVEN IF LINEONE WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
IN NO EVENT WILL LINEONE'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE MEMBERSHIP EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO LINEONE FOR THE MEMBERSHIP IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY, OR (B) ONE HUNDRED UNITED STATES DOLLARS ($100.00).
Carve-outs. Nothing in this Section 20 limits or excludes LINEONE's liability for (i) fraud or fraudulent misrepresentation; (ii) gross negligence or willful misconduct; or (iii) any liability that cannot be excluded or limited under applicable law.
Multiple claims. The existence of multiple claims will not enlarge the limits in this Section 20.
Essential basis. You acknowledge that the limitations in this Section 20 are an essential basis of the bargain between you and LINEONE and apply even if any remedy fails of its essential purpose.
21. INDEMNIFICATION
To the fullest extent permitted by law, you agree to indemnify, defend, and hold harmless LINEONE, its officers, directors, employees, agents, licensors, affiliates, and suppliers from and against any and all claims, demands, actions, losses, liabilities, damages, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to:
(a) your use, misuse, storage, or transportation of the Shears, including without limitation any professional services you provide to third parties using the Shears;
(b) any injury or damage caused by the Shears to any person (including yourself) or property, except to the extent caused by LINEONE's gross negligence, willful misconduct, or fraud;
(c) your breach or alleged breach of these Terms or any representation or warranty you have made under these Terms;
(d) your violation of any applicable law, regulation, or third-party right;
(e) any loss, theft, intentional damage, or unauthorized modification of any Shears in your possession;
(f) any chargeback you initiate in breach of Section 16; and
(g) any content or information you provide to LINEONE under these Terms.
LINEONE reserves the right, at its own expense, to assume the exclusive defense and control of any matter otherwise subject to your indemnification, and in such case you agree to cooperate with LINEONE's defense.
22. FORCE MAJEURE
Neither party shall be liable for any failure or delay in performance under these Terms due to causes beyond its reasonable control, including without limitation acts of God, natural disasters, fire, flood, earthquake, pandemic or epidemic, war, civil unrest, terrorism, labor disputes, governmental action, carrier delays, supply chain disruptions, or failures of internet or telecommunications infrastructure.
If a force majeure event prevents you from returning a pair within the 14-day return window described in Section 7 or the post-cancellation return window described in Section 11, LINEONE will reasonably extend the window upon your timely written request to orders@lineonehair.com, accompanied by reasonable documentation of the event.
23. SEVERABILITY
If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be deemed modified to the minimum extent necessary to make it valid, legal, and enforceable. If no such modification is possible, the provision shall be severed from these Terms, and the remaining provisions shall remain in full force and effect, except as expressly provided in Section 17.9.
24. WAIVER
No waiver of any provision of these Terms by LINEONE shall be deemed a further or continuing waiver of that provision or any other provision, and LINEONE's failure to assert any right or provision under these Terms shall not constitute a waiver of that right or provision.
25. ASSIGNMENT
You may not assign or transfer these Terms or any of your rights or obligations under these Terms, in whole or in part, without LINEONE's prior written consent. Any purported assignment in violation of this Section 25 is void.
LINEONE may freely assign or transfer these Terms or any of its rights or obligations under these Terms, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of all or substantially all of its assets.
These Terms inure to the benefit of and are binding upon the parties and their respective permitted successors and assigns.
26. ENTIRE AGREEMENT
These Terms, together with the consent checkboxes you accepted at enrollment and any policy, notice, or document expressly incorporated by reference in these Terms, constitute the entire agreement between you and LINEONE regarding the Membership and supersede any prior or contemporaneous agreement, representation, or understanding regarding the Membership.
27. HEADINGS; INTERPRETATION
The headings in these Terms are for convenience only and do not affect the interpretation of these Terms. The word "including" shall be construed as "including without limitation." References to a Section are references to a Section of these Terms unless context indicates otherwise. The singular includes the plural and vice versa.
28. SURVIVAL
Any provision of these Terms that by its nature should survive the cancellation or termination of your Membership shall so survive, including without limitation Sections 5 (payment authorization for any outstanding amounts), 8 (Replacement Value), 16 (chargeback), 17 (arbitration), 18 (governing law), 19 (warranty disclaimer), 20 (limitation of liability), 21 (indemnification), and 28 (survival).
